you can apply for both models a max shader and try the bake .
yes, i reseted the Xfroms.

now in the advanced projection methods i chose the UV match option instead of raytrace (beneath Method section) and it gave a bettre result but still not an ordinary normal map.

Nope, that's not right either. Why don't you export the high and low poly models, import them into a new 3ds scene and try to render to texture from there?

Alternatively use a different render to texture. Like xnormal.
